Important: The Payroll Tax API provides tax rate data for informational and reference purposes only. It does not constitute legal, tax, accounting, or financial advice.

1. Service Description

PayrollTax API (“Company”, “we”, “us”) provides a REST API that returns US payroll tax rate data including federal, state, and local tax rates, brackets, and withholding information (the “Service”). The Service is designed as a reference tool for payroll software companies and developers.

2. Disclaimer of Warranties

THE SERVICE AND ALL DATA, RATES, CALCULATIONS, AND CONTENT PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT ANY TAX RATE, WITHHOLDING AMOUNT, GOVERNMENTAL INFORMATION, OR CALCULATION IS ACCURATE, CURRENT, COMPLETE, OR APPLICABLE TO YOUR SPECIFIC BUSINESS, JURISDICTION, OR CIRCUMSTANCES.

Tax laws and rates change frequently; we do not warrant that the Service reflects the most current information at all times. You are solely responsible for verifying the accuracy of any tax data before relying on it.

3. No Legal or Tax Advice

The Service and its outputs do not constitute legal, tax, accounting, or financial advice and should not be relied upon as such. Nothing in the Service substitutes for the advice of qualified legal or tax counsel.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (b) THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5. Customer Responsibility

You acknowledge that you are solely responsible for: (a) verifying that all tax rates and calculations returned by the Service are accurate and applicable to your jurisdiction; (b) maintaining appropriate professional oversight of all payroll tax withholding; (c) complying with all applicable federal, state, and local tax laws; and (d) consulting qualified tax professionals for guidance specific to your circumstances.

6. Accuracy and Updates

We use commercially reasonable efforts to maintain accurate tax rate data and to update the Service when tax rates change. However, we do not guarantee that updates will be made immediately upon any governmental change.

7. Acceptable Use

You agree not to: (a) use the Service to provide tax advice to third parties without appropriate professional credentials; (b) exceed your plan's rate limits through circumvention; (c) reverse-engineer or attempt to extract the underlying data in bulk; (d) use the Service for any unlawful purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of the Service.

9. API Key Security

You are responsible for maintaining the confidentiality of your API keys. Any activity under your API key is your responsibility.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with 30 days' notice.

11. Governing Law

These Terms are governed by the laws of the State of Delaware.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
